1. Acceptance of Terms
By accessing or using EB5Visa.io, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws. If you do not agree to these Terms, you may not use the platform.
These Terms apply to all users, including investors, Regional Centers, immigration attorneys, real estate developers, securities attorneys, migration agents, and broker-dealers. Additional obligations specific to your user type are set forth in Section 4.
2. Eligibility
- You must be at least 18 years of age.
- You must have full legal capacity to enter into binding contracts.
- If registering on behalf of an entity (e.g., Regional Center, law firm), you represent that you are authorized to bind that entity.
- You must not be located in a jurisdiction where access to or use of this platform is prohibited by law.
- Accredited investor status may be required to access certain project financial details, per SEC Regulation D, Rule 506(c).
3. Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect any unauthorized access.
We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, or that is being used in violation of these Terms.
4. User-Specific Terms
By selecting your user role at registration, you agree to the specific terms applicable to that role. These addenda are legally binding in addition to the general terms in this document.
💼 4a. Investors
- You represent that you meet the definition of an "accredited investor" under SEC Rule 501 of Regulation D, or that you will not access restricted investment materials until you have verified your status with the applicable Regional Center.
- You acknowledge that the minimum EB-5 investment amount is $800,000 for Targeted Employment Areas (TEA) and $1,050,000 for non-TEA projects, per 8 CFR § 204.6.
- You agree that investment inquiries submitted through the platform are non-binding expressions of interest only.
- You acknowledge that you must independently verify the lawful source of your investment funds in accordance with USCIS Source of Funds requirements.
- You consent to receiving outreach communications from Regional Centers if you have enabled the outreach preference in your settings. You may withdraw consent at any time via Settings → Privacy.
- You acknowledge that past performance of any EB-5 project does not guarantee future results, and that your entire investment is at risk.
🏢 4b. Regional Centers
- You represent that your Regional Center holds a current, active USCIS designation and is not on the USCIS Regional Center termination list.
- You agree to maintain accurate and up-to-date I-924 and I-526 exemplar status information on your profile and project listings.
- You acknowledge that all project descriptions must comply with SEC Regulation D, Rule 506(c), and must include required risk disclosures and "past performance" disclaimers.
- You agree that you will not use language constituting a guarantee of investment returns, visa approval, or job creation certainty in any content posted to this platform.
- You acknowledge that investor inquiries submitted through the platform are governed by your own PPM, subscription agreement, and applicable securities laws; EB5Visa.io is not a party to any investment transaction.
- You are responsible for verifying the accredited investor status of any investor before accepting a subscription, as required by Rule 506(c).
⚖️ 4c. Immigration Attorneys
- You represent that you hold a current, active bar admission in the jurisdiction(s) listed on your profile, and that you are in good standing with no material undisclosed disciplinary actions.
- You agree that all profile content and communications through the platform comply with ABA Model Rule 7.1 (Communications Concerning a Lawyer's Services) and applicable state bar advertising rules.
- You will not guarantee visa approval, I-526 approval, or any immigration outcome in any content or communication on this platform.
- You acknowledge that use of your profile on EB5Visa.io constitutes attorney advertising. The following disclaimer applies to your profile: "Attorney advertising. Prior results do not guarantee a similar outcome. Licensed to practice in the states listed on this profile. Consultation does not create an attorney-client relationship."
- You agree to promptly update your profile if your bar admission status changes.
🏗️ 4d. Real Estate Developers
- You represent that all project information submitted to the platform is accurate, complete, and not materially misleading.
- You must disclose the current I-924 and/or I-526 exemplar status of each project. Misrepresentation of USCIS designation status is a material violation of these Terms.
- Job creation estimates must be based on a recognized econometric model (e.g., RIMS II, IMPLAN) and must clearly state whether they are direct, indirect, or induced jobs.
- You agree to update project listings promptly upon any material change in project status, capitalization, or USCIS standing.
📜 4e. Securities Attorneys
- You represent that you hold a current bar admission and that any securities law advice you provide to clients is done outside of and independently from this platform.
- You agree that EB5Visa.io is not a securities law compliance platform, and that you are solely responsible for ensuring your clients' offerings comply with applicable SEC regulations.
- You will not make representations about SEC registration status or exemption availability on behalf of any project through this platform.
🌐 4f. Migration Agents
- You represent that you hold all licenses, registrations, or approvals required to provide migration advice in your country of operation.
- You agree to disclose any referral fees or financial arrangements you have with Regional Centers to any investors you refer through this platform.
- You will not make guarantees of visa success or immigration outcomes to investors in any content or communication on this platform.
- You acknowledge that you are solely responsible for compliance with the laws of the jurisdictions in which you operate, including anti-money-laundering (AML) and Know Your Customer (KYC) requirements applicable to your role.
📊 4g. Broker-Dealers
- You represent that you are registered with FINRA and the SEC as required, and that your registration is current and in good standing.
- You agree to disclose all compensation arrangements (selling concessions, fees, commissions) related to any EB-5 offering you promote through this platform, in compliance with FINRA Rule 2210.
- You acknowledge that EB5Visa.io is not a registered broker-dealer and does not facilitate securities transactions. All securities transactions must be conducted through your own registered infrastructure.
- You will not post content that constitutes an offer or solicitation to sell securities unless accompanied by required Reg D disclosures.
5. Content Standards & SEC Shield
All content posted to EB5Visa.io, including feed posts, comments, project descriptions, and profile information, is subject to automated content scanning ("SEC Shield") and human moderation review.
The following content is expressly prohibited:
- Guaranteed returns — e.g., "guaranteed return," "risk-free investment," "certain profit"
- Visa guarantees — e.g., "guaranteed visa approval," "green card guaranteed," or implying USCIS approval is assured
- False government endorsement — e.g., "government-backed investment," "federally guaranteed"
- Immigration status misrepresentation — e.g., "citizenship investment," "USCIS-approved attorney"
- Unlicensed investment advice — directing individuals to invest in specific offerings without SEC registration
Content containing prohibited language will be automatically rejected or queued for moderation review. Repeated violations may result in account suspension. All moderation actions are permanently recorded in our compliance audit trail.
7. Intellectual Property
The EB5Visa.io platform, including its design, software, and proprietary content, is owned by Bluecode Inc. and protected by United States and international copyright, trademark, and other intellectual property laws.
By submitting content to the platform (posts, comments, project descriptions, profile information), you grant EB5Visa.io a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content solely in connection with the operation of the platform.
8. No Investment or Legal Advice
Investment Disclaimer: This platform is provided for informational purposes only. Nothing on EB5Visa.io constitutes investment advice, a recommendation to invest, or a solicitation to buy or sell any security. This offering is made pursuant to Regulation D, Rule 506(c) and is available only to accredited investors as defined in Rule 501 of Regulation D. All investments carry risk, including potential loss of principal. Past performance does not guarantee future results. Review all offering documents, including the Private Placement Memorandum (PPM), before making any investment decision.

9. Limitation of Liability
To the fullest extent permitted by applicable law, EB5Visa.io and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of investment capital, arising from your use of the platform.
Our total liability to you for any claim arising from these Terms or your use of the platform shall not exceed the greater of (a) $100 or (b) the amount you paid to us in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless EB5Visa.io, Bluecode Inc., and their respective officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the platform, (b) content you submit, (c) your violation of these Terms, or (d) your violation of any third-party rights.
11. Dispute Resolution & Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wilmington, Delaware, except that either party may seek injunctive relief from a court of competent jurisdiction to prevent irreparable harm.
You waive any right to participate in a class action lawsuit or class-wide arbitration related to your use of this platform.
